Agent Two Ltd
Last updated: 12/09/26
1. About us
These terms apply to all services provided by Agent Two Ltd, registered in England and Wales, registered office 112 St Augustine Street, Taunton, TA1 1QN.
Contact: dom@agent2.co.uk
2. The agreement
Our proposal or written quotation, together with these terms, forms the agreement between us. Where the two conflict, the proposal takes precedence.
The agreement begins when you accept the proposal in writing or make the first payment, whichever happens first.
These terms are for business customers. If you are entering into this agreement as a consumer rather than in the course of a business, tell us before you accept, as different statutory rights apply.
3. Services
We provide search engine optimisation, AI search optimisation, content, digital PR and website design, as set out in your proposal.
Within an agreed scope, we may adjust the specific activities we carry out where we judge that a different approach will better serve your objectives. Any change to the overall scope or fee will be agreed with you in writing first.
We will carry out the work with reasonable care and skill, using methods that comply with the published guidelines of the relevant search engines.
4. No guarantee of performance
Search engine rankings, traffic and enquiry volumes are determined by third parties, primarily Google, using algorithms that are not published and that change frequently. We do not control them.
We therefore do not guarantee any specific ranking position, volume of traffic, number of enquiries, conversion rate or commercial outcome.
Any figure we discuss with you, whether a forecast, a projection, or an example drawn from previous work, is an estimate based on our experience. It is not a promise and does not form part of this agreement. Results achieved for other clients do not indicate what your results will be.
What we do commit to is carrying out the agreed work to a professional standard and reporting honestly on what it achieves.
5. Fees and payment
All services are paid for in advance. We do not begin or continue work on an unpaid period.
Monthly retainers are invoiced before the start of each month. Project fees are payable in full before work begins, or in agreed instalments as set out in the proposal.
Invoices are due on receipt unless the proposal says otherwise. Where payment is not received, we may suspend work until it is, and we are not responsible for any loss of performance caused by that suspension.
Fees are exclusive of VAT. We are not currently VAT registered.
We may increase retainer fees on 30 days' written notice, which applies from the next monthly period after the notice expires.
Third party costs are not included in our fees unless the proposal says so. This covers things like advertising spend, software licences, stock imagery, hosting and paid placements.
We reserve the right to charge interest and reasonable recovery costs on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.
6. No lock-in contracts
There is no minimum term and no notice period. You may end the agreement at any time by telling us in writing at dom@agent2.co.uk.
Because all work is paid for in advance and resourced ahead of time, we do not refund fees for a period that has already begun. Your engagement runs to the end of the period you have paid for.
We may end the agreement at any time on the same basis. We may end it immediately if you fail to pay, or if you ask us to do something we consider unethical, unlawful, or damaging to your website.
On termination we will hand over completed work that has been paid for, and transfer or revoke access to any accounts we hold on your behalf.
7. What we need from you
To do the work we need you to provide, within a reasonable time, access to your website, hosting, Google Business Profile, analytics and Search Console; approval of content and recommendations; accurate information about your business, services and areas covered; and a named point of contact who can make decisions.
Where delays in any of the above hold up the work, the timescales in the proposal no longer apply and fees remain payable.
Where you or a third party makes changes to your website without telling us, we are not responsible for any effect on performance.
8. Your content and our responsibility for it
You confirm that any material you supply to us is yours to use, and does not infringe anyone else's rights. You will indemnify us against any claim arising from material you have supplied.
We are not responsible for the accuracy of claims you ask us to publish about your own business, including qualifications, accreditations, guarantees or performance claims. Where we believe a claim may breach advertising rules or consumer protection law, we will raise it with you, but responsibility for it remains yours.
9. Ownership
Content, pages and other materials we create for you become yours once they have been paid for in full.
Our own methods, templates, processes, tools, research and internal documentation remain ours, including where they have been used in delivering your work.
Third party assets such as stock images and licensed software remain subject to their own licences.
Accounts we set up on your behalf are yours, and we will hand over access on request.
10. Confidentiality
Neither of us will disclose the other's confidential information without permission, other than where required by law or by a regulator.
We may refer to you as a client and describe the work in our marketing, including case studies and performance data. If you would rather we did not, tell us and we will not.
11. Data protection
Where we process personal data on your behalf, we do so as a processor under your instructions. Each of us will comply with UK data protection law. Where required, we will enter into a separate data processing agreement.
Our Privacy Policy explains how we handle personal data as a controller.
12. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, our total liability to you, whether in contract, tort, negligence, breach of statutory duty or otherwise, is limited to the total fees you have paid us in the twelve months before the claim arose.
We are not liable for loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of data, or any indirect or consequential loss.
We are not liable for changes to search engine algorithms, for manual actions or penalties imposed by a search engine, for the acts or omissions of third party platforms, or for any drop in performance caused by changes made to your site by anyone other than us.
You must bring any claim within twelve months of becoming aware of the circumstances giving rise to it.
13. Other terms
Neither of us is liable for delays caused by events outside our reasonable control.
Neither of us may transfer this agreement without the other's written consent, although we may subcontract parts of the work and remain responsible for it.
No one other than you and us has any rights under this agreement, and the Contracts (Rights of Third Parties) Act 1999 does not apply.
If any part of these terms is found to be unenforceable, the rest continues to apply.
Failure to enforce a term is not a waiver of it.
The proposal and these terms are the whole agreement between us and replace anything said or written beforehand.
We will try to resolve any dispute directly. If we cannot, either of us may propose mediation before starting court proceedings.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
